Terms of Use

These terms are a contract between you and Cognifly Ltd for Cogni on the web, iOS and Android, including this website. By creating an account or using the service you agree to them. If you do not agree, do not use Cogni. Our Privacy Policy is part of how we handle information; it does not replace these terms.

The service

Cogni lets you keep study notes, make and review flashcards with spaced repetition, sync across devices, import Anki .apkg decks, browse a library of ready-made decks, and optionally generate cards with AI. Features, limits and prices can change as we ship. We may add, limit or retire parts of the product, including for maintenance, security or legal reasons.

Cogni is a study aid. It is not a school, not medical, legal or professional advice, and not a guarantee of any exam result or grade.

Eligibility and your account

You must be at least 13 and old enough to enter into this agreement in your country. The service is for individual use: one person per account. Do not share your login.

You are responsible for the email and sign-in method you use (password, Google or Apple) and for activity on the account. Keep credentials to yourself. Tell us promptly if you think someone else used the account. We are not liable for loss that comes from someone else using credentials you failed to keep safe.

We may set storage and usage limits. We may suspend or close accounts that breach these terms, harm the service or other people, or that we are required to close by law.

Your content

You keep the rights to the notes, cards, images and other material you create (“your content”). You grant Cognifly Ltd a worldwide, non-exclusive licence to host, store, reproduce, adapt (for example to render cards or generate suggestions you asked for), sync and display that content only as needed to operate Cogni for you.

That licence ends when your content is deleted from our systems, except for reasonable backups and logs that expire, or copies we must keep by law.

You represent that you have the right to upload your content and that it does not infringe others’ rights or the law. Do not upload anything you do not have the right to use — including other people’s notes, publisher materials, or Anki decks whose licence forbids it.

Library, imports and other people’s material

The in-app library and any shared or imported decks may include material created by Cogni, by partners, or by other users. We do not review every card. We do not warrant that library or imported content is accurate, complete, up to date, or free of third-party rights.

Importing an Anki deck copies what is in the file you provide. Review history from Anki is not carried over. Importing does not make you the copyright owner of someone else’s deck.

If you believe material in Cogni infringes your copyright, write to [email protected] with a description of the work, where it appears, and a statement that you are authorised to act. We will remove or disable material when that is the appropriate response, and we may close repeat infringers’ accounts.

AI-generated cards

AI output can be wrong, biased, incomplete or unsuitable for an exam. You must review generated cards before you rely on them. Cogni is not responsible for study outcomes, failed exams, or decisions you make based on generated or library content.

You must not use generation to create unlawful, harmful or infringing material, or to submit other people’s confidential information.

Acceptable use

Do not, and do not attempt to:

  • break, overload, scrape at scale, or reverse-engineer the service except as the law allows;
  • probe, scan or bypass security or access controls;
  • use another person’s account, or share yours;
  • upload malware, or content that is illegal, sexually exploitative of minors, or that harasses, threatens or incites violence;
  • use Cogni to store or share material you do not have the right to use;
  • resell, rent or provide the paid product as a service to others without our written permission;
  • misrepresent Cogni, or use our names or marks except to refer to the product accurately.

We may remove content and suspend accounts that violate this section.

Our intellectual property

Cogni, the apps, the website, the design, the software, and our trademarks are owned by Cognifly Ltd or its licensors. These terms give you a limited, personal, revocable, non-transferable licence to use the service for your own studying, not to copy the product, extract the library for a competing service, or use our marks in a way that suggests sponsorship.

Feedback you send us may be used to improve Cogni without obligation to you.

Free plan and paid subscriptions

Some features are free with limits (including a daily review cap on the free plan). Paid plans (monthly, annual or lifetime, as offered at checkout) unlock additional features such as higher or unlimited reviews, unlimited AI generation and text-to-speech, as described at the time you buy.

Web purchases are billed by Stripe. iOS and Android purchases are billed by Apple or Google. Taxes, invoices, refunds, chargebacks and cancellation flows follow that provider’s rules and the law that applies to you. We do not store your full card number.

Subscriptions renew automatically until you cancel. Cancel at least before the next renewal through the Stripe customer portal (web) or the store subscriptions settings (iOS / Android). Access to paid features lasts until the end of the period you already paid for. Lifetime purchases, where offered, last for as long as we operate Cogni for that entitlement; they are not a promise that every feature will exist forever.

Except where consumer law requires otherwise, fees already paid are not refunded because you stop using the app, because a feature changed, or because a later promotion is cheaper. Price changes apply from the next renewal; we will give reasonable notice where the law requires it. If you disagree, cancel before the new price takes effect.

If a payment fails we may downgrade the account to the free plan.

Third-party services

Sign-in, payments, stores, analytics and AI are provided by third parties listed in the Privacy Policy. Their terms apply to those pieces. Cogni is not responsible for outages, account bans, or refund policies of Apple, Google, Stripe or other providers, except to the extent the law makes us responsible.

Disclaimer

Cogni is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement.

We do not warrant that the service will be uninterrupted, error-free, or that cards, library decks, imports or AI output are correct. Study tools contain mistakes. You use Cogni at your own discretion and risk, including the risk of data loss — keep your own exports if the material matters to you.

Nothing in these terms excludes or limits liability that cannot be excluded under applicable law, including (where such rules apply) liability for death or personal injury caused by negligence, or for fraud.

Limitation of liability

To the fullest extent allowed by law, Cognifly Ltd and its officers, employees and suppliers are not liable for any indirect, incidental, special, consequential or exemplary loss, or for lost profits, lost data, lost chance of an exam result, business interruption, or replacement of study time, arising from your use of — or inability to use — Cogni, even if we were told such loss was possible.

Our total liability for all claims arising out of the service is limited to the amounts you paid us for Cogni in the 12 months before the claim (and zero if you only used the free plan), except where the law requires a higher floor.

Some countries and US states do not allow certain limitations. In those places the limitation applies only as far as permitted, and your statutory consumer rights remain.

Indemnity

If your content or your use of Cogni causes a third-party claim against us (including copyright claims over material you uploaded or imported), you will defend and indemnify Cognifly Ltd against that claim and reasonable legal costs, to the extent the law allows. This does not require you to indemnify us for our own fraud or for liability the law does not let consumers waive.

Suspension, deletion and survival

You may stop using Cogni at any time and may ask us to delete your account. We may suspend or end access if you breach these terms, if we shut down the service, or if the law requires it. We are not obliged to refund prepaid periods except where the law says we must.

Sections that by nature should survive (including your content warranties, acceptable use, our IP, disclaimers, liability limits, indemnity, and governing law) survive termination.

Changes

We may change these terms. The date at the top is the current version. For material changes we will try to notify you in the product or by email. If you continue to use Cogni after the change takes effect, you accept the new terms. If you do not accept them, stop using the service and request deletion.

Governing law

These terms are governed by the laws of England and Wales, without regard to conflict-of-law rules. The courts of England and Wales have exclusive jurisdiction, except that if you are a consumer in the UK, EEA or another place that forbids that choice, you may bring a claim in your local courts, and mandatory consumer protections of your country still apply.

If a provision is unenforceable, the rest remains in force. Our failure to enforce a provision is not a waiver. You may not assign these terms; we may assign them in a merger, sale or reorganisation.

These terms are the entire agreement for use of Cogni, and replace prior versions.
